Relay ERP Terms of Service

Effective date: 24 October 2026 Last updated: 24 October 2026

Relay ERP is operated by Relay Solutions Ltd, 730, West Shewrapara, Dhaka-1216, Bangladesh. In these terms, we, us, and our mean Relay Solutions Ltd, and you means the person using the service and, where you act for one, the organization you represent.

These terms govern your use of relayerp.app and our hosted Relay ERP service, including its installable web app, its AI assistant and any paid plan, offer or credit pack. Our Privacy Policy and Cookie Policy explain how we handle personal information and browser storage.

1Agreeing to these terms

By creating an account, accepting an invitation, creating an organization or using the service, you agree to these terms. If you do not agree, do not use the service.

If you use the service for an organization, you confirm that you are authorized to accept these terms for it, and the organization is bound by them. An organization that signs a separate written agreement or accepts a custom offer from us is governed by that agreement or offer where it differs from these terms.

The service is meant for business use. You must be legally able to enter into a contract, or use the service only through an organization that has authorized you as described in the Privacy Policy.

2Accounts and organizations

  • Your account. You sign up with Google or with an email address you verify. Give accurate information, keep your password secret and tell us at once if you suspect someone else has used your account. You are responsible for activity under your account.
  • Organizations. Any signed-in user can create an organization and becomes its Owner. One user can create at most five organizations in total, including ones they later left or that were suspended.
  • Owners and members. Owners decide who joins the organization, what each member can do and who approves their actions. The organization is responsible for the actions of the members it invites and the permissions it grants them.
  • Leaving. Members can leave an organization at any time. Every organization must keep at least one active Owner.

3Plans, trial and payment

Each organization needs its own subscription. Owners choose a monthly or yearly plan on the organization's Billing page. Prices, what each plan includes and any discount are shown there and on our website before you pay.

  • Payment provider. Checkout, invoices, taxes and payment methods are handled by our billing provider, Polar, under its own terms. We never see or store your full card details.
  • Free trial. The first organization a user creates can start with a 7-day free trial. A card is required at checkout. Unless you cancel before the trial ends, the subscription starts and the chosen plan is charged automatically. Each user gets one trial.
  • Renewal. Subscriptions renew automatically at the end of each billing period, at the price you signed up at, until cancelled. If we change a plan's price, the new price applies to new checkouts; we tell existing subscribers in advance before a change affects them.
  • Cancelling. Owners can cancel at any time from the billing portal. The organization keeps access until the end of the period already paid for.
  • Refunds. Fees already paid are not refundable, including for partly used periods, except where we agree otherwise in writing or the law requires a refund. This does not affect your statutory rights as a consumer where they apply.
  • Custom offers and manual terms. For organizations that need different limits or payment terms, we can prepare an offer or record a term paid outside the billing provider. Its price, limits, duration and any grace days are those stated in the offer or term.
  • Taxes. Prices may exclude taxes. Any applicable tax is calculated and shown at checkout.

4Plan limits and lapsed subscriptions

Each plan sets limits on active members, active master items (customers, suppliers, warehouses and product variants together) and documents numbered per calendar month. The current limits and your usage are shown on the Billing page. When a limit is reached, actions that would exceed it are refused until room is freed or the limit is raised; nothing already recorded is removed.

An organization that has not yet set up its subscription can only reach its billing page. If a subscription ends, payment fails beyond the provider's retry period, or a manual term and its grace days pass, the organization becomes read-only: members can still sign in, view, print and export its records, but cannot change them. Subscribing again restores full access. We do not delete an organization's data because its subscription lapsed.

5AI assistant and credits

The AI assistant answers questions about your organization's records and prepares draft documents. It only sees what the member asking is allowed to see, and nothing it prepares is created until a member accepts it.

  • Review the output. AI answers can be incomplete or wrong. Check figures and drafts before you rely on them. You remain responsible for the decisions you make and the documents you create.
  • Third-party models. Requests are processed by the AI providers described in the Privacy Policy, under their own usage policies. Do not use the assistant for anything those policies prohibit.
  • Credits. Assistant usage is measured in credits. Owners can buy credit packs while the organization is subscribed or in trial. Bought credits expire 12 months after purchase; credits from an offer or a grant expire on the date stated with them. Credits have no cash value, cannot be transferred to another organization and are not refunded once used. If a credit purchase is refunded, the refunded share of its unused credits is removed.
  • Caps and availability. Owners can cap how many credits each member uses per month. We may change which models power the assistant, and the credits each request costs, for future requests.

6Your data

The records, files and other content an organization puts into Relay ERP belong to that organization. You give us permission to host, copy, process and display that content only as needed to provide, secure and support the service for you, and as described in the Privacy Policy, where we act as your processor for it.

You are responsible for the content you enter: that you have the right to use it, that it is accurate, and that collecting and storing it is lawful, including any personal information about your customers, suppliers and staff.

You can export lists, statements and documents at any time, including while an organization is read-only. Ledger entries, payments, audit history and other records are append-only by design, so corrections are new entries rather than edits. Deleting an organization's data follows the process and timelines in the Privacy Policy.

7Acceptable use

You must not:

  • Use the service for anything unlawful, fraudulent or deceptive, including keeping false books to mislead others.
  • Try to reach another organization's data, test our security without written permission, or bypass permissions, plan limits, rate limits or billing.
  • Upload malware or content you have no right to share, or use the service to send spam.
  • Overload, disrupt or scrape the service, or access it by automated means other than the interfaces we provide.
  • Resell, sublicense or offer the service to others as your own, or copy it to build a competing product.
  • Create accounts or organizations in bulk, or to obtain trials more than once.

8Availability and changes to the service

We work to keep Relay ERP available and your data safe, with backups and point-in-time recovery, but we do not promise uninterrupted or error-free service. Maintenance, updates and events outside our control can cause interruptions.

We improve the service continuously and may add, change or remove features. If we remove a feature that is central to a paid plan, we will tell affected Owners in advance and, where the change materially reduces what you paid for, offer a pro-rata refund of the unused period.

Relay ERP is not an accounting, tax or legal advisor. Statements, balances, taxes and reports it produces are tools for your business; check them with a qualified professional before relying on them for filings or legal obligations.

9Suspension and termination

You can stop using the service at any time by cancelling the subscription and, if you wish, asking us to delete the organization's data.

We may suspend an organization or disable an account if it breaches these terms, puts other customers or the service at risk, or if the law requires it. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem. A suspended organization's data is kept, and its members can still see that it is suspended and leave it. If we end the service for an organization without a breach on its part, we will refund the unused part of any prepaid period and give its Owners reasonable time to export their data.

10Intellectual property

Relay ERP, its software, design, website and brand belong to Relay Solutions Ltd. While your organization has access, we give you a limited, non-exclusive, non-transferable right to use the service for your organization's internal business under these terms. No other rights are granted.

If you send us feedback or suggestions, we may use them to improve the service without any obligation to you.

11Disclaimers and limitation of liability

Apart from the commitments in these terms, the service is provided as is and as available, and, to the extent the law allows, we disclaim implied warranties such as fitness for a particular purpose.

To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill, arising from the service. Our total liability for all claims relating to the service in any 12-month period is limited to the amount your organization paid us for the service in those 12 months.

Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence, or any statutory rights you have as a consumer.

You will compensate us for claims by third parties arising from content you put into the service or your breach of these terms, to the extent the law allows.

12Governing law and disputes

These terms are governed by the laws of Bangladesh. If a dispute arises, contact us first and we will try to resolve it informally. Disputes that cannot be resolved are subject to the courts of Dhaka, Bangladesh, unless the law of the country where you live as a consumer gives you the right to bring proceedings there.

If any part of these terms cannot be enforced, the rest remains in effect. Not enforcing a term straight away does not waive it. You may not transfer your rights under these terms without our consent; we may transfer them to a successor of the service, as described in the Privacy Policy.

13Changes and contact

We may update these terms as the service and the law change. The date at the top shows the latest version. For material changes we give Owners at least 30 days' notice by email or in the app before they take effect. If you keep using the service after that, the updated terms apply; if you do not agree, you can cancel before they take effect.
